Board Committees

The USGBC Board of Directors is responsible for articulating and upholding the vision, values and mission of USGBC. They meet in-person three times each year and by teleconference regularly throughout the year. Board composition, as described in the USGBC Bylaws, includes: the President/CEO, representatives from USGBC’s member communities, representatives from the Regional Councils of USGBC chapters, and directors representing special perspectives.

According to USGBC Bylaws, the Board shall establish an Executive Committee of the Council. The Executive Committee shall establish a Governance Committee, a Finance and Audit Committee, and other committees as needed. The majority of members of these committees must be current or past board members appointed by the Executive Committee. Committee member terms are two years, renewable twice. The Chair of each committee shall be appointed by and serve at the discretion of the Executive Committee.

Executive Committee
The Executive Committee’s main purpose is to facilitate decision-making between Board meetings or in urgent circumstances.
Finance and Audit Committee
The Finance and Audit Committee serves an advisory role to staff on the financial health of the organization.
Governance Committee
The Governance Committee maintains the Council’s bylaws and policies and, via its Nominating Subcommittee, oversees the annual Board nominations and elections processes.
Ethics Panel
The Ethics Panel provides oversight of USGBC committee ethics and recommends courses of action to address real or perceived conflicts.
